However, all strategies, frameworks, templates, systems, and materials created by Shopanova remain our intellectual property unless otherwise agreed in writing. You are granted a limited, non-transferable license to use these materials for your business only and not for resale, redistribution, or replication.

By using our services, you grant us permission to reference your business name, logo, and general results for marketing and case study purposes, unless you request otherwise in writing.

We are not responsible for the actions or performance of third-party platforms, including but not limited to Meta, Google, Shopify, Klaviyo, or any other software or service used in connection with your business. This includes, but is not limited to, account suspensions, algorithm changes, policy updates, attribution discrepancies, or data inaccuracies.

To the fullest extent permitted by law, Shopanova is not liable for any indirect, incidental, or consequential damages, including but not limited to lost revenue, lost profits, business interruptions, or missed opportunities. Our total liability for any claim is limited to the amount you paid us in the thirty days prior to the event giving rise to the claim.

You agree to indemnify and hold harmless Shopanova from any claims, damages, or liabilities arising from your business operations, your products or services, your advertising claims, or your failure to comply with applicable laws and regulations.

We reserve the right to terminate services at any time if we determine the relationship is not a good fit, if these Terms are violated, or if payments are not made. No refunds will be issued unless explicitly stated otherwise in writing.

Shopanova operates as an independent contractor. Nothing in these Terms creates a partnership, joint venture, or employment relationship.

We are not responsible for delays or failure to perform due to events outside of our control, including but not limited to natural disasters, power outages, internet failures, or government actions.

These Terms are governed by the laws of the State of Alaska. Any disputes will be resolved in the appropriate courts located in Alaska.

We may update these Terms at any time. Continued use of this website or our services constitutes acceptance of any updates.
